Description
Responsibilities:
- Strategic Legal Advisory: Provide expert legal guidance to the Board, executive team, and senior management on corporate, regulatory, and commercial matters.
- Risk Management: Identify, assess, and mitigate legal risks across all areas of the business, ensuring proactive measures are in place.
- Corporate Governance: Oversee compliance with corporate governance requirements, including Board policies, shareholder rights, and statutory obligations.
- Regulatory Compliance: Ensure adherence to all relevant laws and regulations in the jurisdictions where the company operates.
- Contracts Management: Draft, review, and negotiate complex contracts, agreements, and partnerships to protect the company’s interests.
- Dispute Resolution: Manage litigation, arbitration, and dispute resolution processes, engaging external counsel when necessary.
- Policy Development: Establish and enforce internal legal policies, procedures, and training programs to maintain ethical and compliant business practices.
- Team Leadership: Lead, mentor, and develop the in-house legal team, fostering a high-performance culture.
- Stakeholder Communication: Act as a key liaison with regulators, government agencies, and external stakeholders on legal and compliance matters.
- Board Advisory: Act as the primary legal advisor to the Board of Directors, ensuring decisions are made with a clear understanding of legal implications.
- Governance Framework: Develop, implement, and maintain robust corporate governance frameworks in line with best practices and regulatory requirements.
- Board Documentation: Oversee preparation and review of Board agendas, minutes, resolutions, and shareholder communications to ensure accuracy and compliance.
- Strategic Projects: Partner with business leaders on major projects, ensuring alignment between business goals and legal safeguards.
Qualifications & Experience:
- Law degree (JD, LLB, or equivalent) and admission to practice in relevant jurisdiction.
- 12+ years of progressive legal experience, with at least 5 years in a leadership role.
- Strong expertise in corporate, commercial, and regulatory law.
- Proven track record in managing complex legal matters and transactions.
- Excellent communication, negotiation, and stakeholder management skills.
