Description

Responsibilities:

  1. Strategic Legal Advisory: Provide expert legal guidance to the Board, executive team, and senior management on corporate, regulatory, and commercial matters.
  2. Risk Management: Identify, assess, and mitigate legal risks across all areas of the business, ensuring proactive measures are in place.
  3. Corporate Governance: Oversee compliance with corporate governance requirements, including Board policies, shareholder rights, and statutory obligations.
  4. Regulatory Compliance: Ensure adherence to all relevant laws and regulations in the jurisdictions where the company operates.
  5. Contracts Management: Draft, review, and negotiate complex contracts, agreements, and partnerships to protect the company’s interests.
  6. Dispute Resolution: Manage litigation, arbitration, and dispute resolution processes, engaging external counsel when necessary.
  7. Policy Development: Establish and enforce internal legal policies, procedures, and training programs to maintain ethical and compliant business practices.
  8. Team Leadership: Lead, mentor, and develop the in-house legal team, fostering a high-performance culture.
  9. Stakeholder Communication: Act as a key liaison with regulators, government agencies, and external stakeholders on legal and compliance matters.
  10.  Board Advisory: Act as the primary legal advisor to the Board of Directors, ensuring decisions are made with a clear understanding of legal implications.
  11. Governance Framework: Develop, implement, and maintain robust corporate governance frameworks in line with best practices and regulatory requirements.
  12. Board Documentation: Oversee preparation and review of Board agendas, minutes, resolutions, and shareholder communications to ensure accuracy and compliance.
  13. Strategic Projects: Partner with business leaders on major projects, ensuring alignment between business goals and legal safeguards.

Qualifications & Experience:

  • Law degree (JD, LLB, or equivalent) and admission to practice in relevant jurisdiction.
  • 12+ years of progressive legal experience, with at least 5 years in a leadership role.
  • Strong expertise in corporate, commercial, and regulatory law.
  • Proven track record in managing complex legal matters and transactions.
  • Excellent communication, negotiation, and stakeholder management skills.
